Job Summary
You are a Contracts Manager with 5-10 years of experience managing all contract and engagement activities with clients and subcontractors. In this role, you will be reviewing, negotiating, drafting, and interpreting agreements and related tasks to identify and mitigate business and contract risks.You will manage any third-party legal issues, as required, and will be required to address and resolve contractual issues as they arise, including ascertaining the cost and schedule impact associated with claims for extension of time loss and preparation of financial claims. Furthermore, you will be required to apply dispute resolution techniques to complex contractual claims and apply extensive knowledge and experience to guide the teams during the claims and dispute resolution processes with clients, subcontractors, and third-parties.

Responsibilities
  • Ensure proper handling of contracts, support documentation, bid scopes for subcontractors and related files
  • Review and track subcontractor onboarding documents, including insurance documentation, performance bonds, labor and material bonds, to ensure they are complete and meet the contractual requirements. Monitor their documentation to ensure that they do not expire while the subcontractor is still working on the project
  • Prepare and communicate change notices and change directives, amending agreements and potential claims, when needed, with internal and external stakeholders
  • Address and resolve contractual issues as they arise including ascertaining the cost and schedule impact associated with the contractual issue, including claims for extension of time, loss and preparation of financial claims
  • Participate in the resolution of client, and subcontractor claims and disputes
  • Ensure all documentation including all standard agreement templates are completed with each subcontractor
  • Engage with, and provide stewardship to, project teams involved in the negotiations, the formation and administration of the Prime Contract, sub-contracts and purchasing process
  • Provide assistance with preparation of contractual claims for extension of time and cost as required during contract execution
  • Lead internal self-audits and continuous improvement of contract processes and procedures
  • Oversee subcontract change order process and review all subcontractor change orders prior to final signoff
  • Review and signoff subcontractor invoice for compliance with contract requirements
  • Signoff on all subcontractor completion documentation for compliance with contract requirements prior to release of final payment
  • Assist legal in the development of project specific sub-contract agreement templates (work 0rders). Review sub-contracts and associated documents, and ensure flow down of Prime Contract terms in all subcontract and purchasing commitments, scope of work and pricing are reasonable
  • Coordinate with Legal team with respect to subcontract dispute management
  • Report to the Legal team on contracting and risk issues where significant legal implications arise from the contracting process, and provide assistance as required
  • Review amending agreements and change orders to ensure flow down of Prime Contract terms, scope of work and pricing are reasonable
  • Prepare all insurance claims and manage the claim process
  • Other duties as required


Requirements
  • 5-10 years of extensive contracts management experience with a strong focus on contractual interpretation, dispute resolution and claims processes
  • Completion of post-secondary education with a diploma or degree related to Business administration, Finance, Commerce, Legal or related field
  • Significant construction experience is advantageous, and time spent at a law firm will be beneficial
  • Strong legal skills, including excellent drafting, negotiation and attention to detail
  • Familiarity with Telecommunications industry, estimating and a thorough understanding of the risks inherent within the industry and the contracting out process
  • Understanding of subcontractor contract resolution processes
  • Experience with negotiating and resolving contractual risks and recommending mitigation practices
  • Ability to identify problems/issues and generates solutions and proposes solutions using standard procedures
  • Familiarity with Telecommunications industry, estimating and a thorough understanding of the risks inherent within the industry and the contracting out process
  • Knowledge of construction risks and how they pertain to construction contracts
  • Understanding of subcontractor contract resolution processes
  • Experience with negotiating and resolving contractual risks and recommending mitigation practices
  • Excellent written and communication skills
  • Knowledge of contract terminology, practices and concepts
  • Ability to identify problems/issues and generates solutions and proposes solutions using standard procedures
  • Strong customer service ethic and ability to work under pressure
  • Strong computer background including experience with MS Office
  • Successful completion of a criminal background check and pre-employment drug & alcohol requirements
